These Terms are agreed between you (by which we include your servants and agents and any person otherwise acting on your behalf) and we/us, BarNetwork Pty Limited (ABN 32 092 121 198) with its registered office at Level 22, 52 Martin Place, Sydney, NSW 2000 Australia (BarNet) in relation to your participation (whether as an registered attendee (virtual or in-person), speaker, guest, sponsor, exhibitor or other including media representatives) in the following event:

Registration Cancellation Date: Until 7 days before the Event

We may need to change these Terms from time to time to address scheduling or other changes to the Event. We intend to announce such changes on our websites in advance and, if you have provided us with your email address and sufficient time permits, we will inform you of any significant changes by email before they take effect. There may be circumstances when we cannot notify you in advance of changes and if we reasonably believe it necessary to do so we may at any time (without giving any reason or justification) change these Terms. See also section 3 below for information on Event cancellation or postponement.

REGISTRATION

1. Payment of an individual registration is by credit card at the time of registration. Registration is complete when full payment is received by the Event Organiser via the Event Platform.

2. The Australian Goods and Services Tax (GST) at 10% is applicable to all goods and services offered by the Event. All registration fees listed inclusive of GST and are in Australian dollars.

3. Early Bird: To qualify for any available early bird registration, registration fees must be paid in full by the Early Bird Sale Date. If registration fees have not been received by the expiry of the Early Bird Sale Date your registration will revert to the standard Event registration fee. Registration fees are based on date of payment receipt, not the date of receipt of registration form.

4. Discounted Rates: Any available Student Rate applies to those who are a student at the time of registration or have a student card valid in the calendar year of the Event. A valid document for any discounted rate purchased (e.g. Student, Not-for-profit, Government, Academic, Sole-practitioner) mustbepresentedon the day of the Eventif requested by the Event Organiser.

5. Late registrations: are accepted at the discretion of the Event Organiser who cannot guarantee the availability of social functions (drinks receptions or any other ancillary events) to late registrants.

6. Purchases of the Event recording: If available, purchasing a recording of the Event grants you access for a limited period of 12 months from release of the recording. You will be notified by email after the Event once the recording is available for access. We warrant that the recording, when accessed, will substantially comply with the description provided by us at the point of access and that any services we provide through it will be provided with reasonable care and skill. By accessing the recording you agree to our Acceptable Use Policy.

7. Registrations (including for virtual attendance and recordings) are individual and cannot be shared. Registration fees for virtual attendance or recordings do not cover any third party fees you incur in connection with access including charges for internet access from your internet service provider.

TRANSFER AND CANCELLATION

1. All fully-paid registrations are transferable prior to the Event to other persons from the same organisation as the original registrant by emailing help@jade.io.

2. No refund will be made for non-attendance at any part of the Event.

3. All cancellations must be made in writing to the Event Organiser at help@jade.io or via the Event Platform by the Registration Cancellation Date. You are not entitled to a refund of the registration fees if the cancellation is received after the Registration Cancellation Date. Refunds (less applicable administrative fees) will be processed 30 days after the conclusion of the Event.

4. Full Event or one-day-only cancellations (in person attendance): If you have registered for the Event as an in-person delegate you are entitled to a refund if the cancellation is received on or before the Registration Cancellation Date subject to a $100 administrative fee.

5. Full Event or one-day-only cancellations (virtual attendance): If you have registered for the Event as a virtual delegate you are entitled to a refund if the cancellation is received on or before the Registration Cancellation Date.

6. Cancellation of recording purchase: If you have purchased a recording of the Event you may cancel your order and are entitled to a refund at any time until you access the recording. Once you have accessed the recording you may not cancel your order. You acknowledge that you will not have the right to change your mind once your access has started.

CANCELLATION, POSTPONEMENT OR CHANGE OF REGISTRATION OF THE EVENT BY THE EVENT ORGANISER

1. It may be necessary for reasons beyond the control of the Event Organiser to alter the times, dates, itineraries or speakers at any time.

2. In the event of cancellation or postponement of the Event, or if your registration is converted from an in-person registration to a virtual-only registration, the maximum liability ofthe Event Organiserislimitedtoarefundof yourEvent registrationfeewith no additional liability for travel costs, hotel costs, or any other costs or expenses whatsoever. Any difference in the fees for an in-person registration and a virtual-only registration will be refunded. Refunds will be processed after the Event.

3. In the event of cancellation or postponement of the Event, or if your the registration is converted from an in-person registration to a virtual-only registration, due to circumstances beyond the Event Organiser’s reasonable control including but not limited to acts of terrorism, war, acts of God, natural disaster or global health crises (including any government restrictions on travel or gatherings), the Event Organiser will not be held responsible for any cost, damage or expense which may be incurred by you as a consequence of such cancellation, postpone or change.

4. In the event of postponement of theEvent, if you are willing to attend the rescheduled event, the Event Organiser will transfer your registration and guarantee the same conditions and registration entitlements at the rescheduled event.

5. It is strongly recommended that you take out insurance at the time of registration to include any eventuality including but not limited to loss of fees through cancellation of your participation in the Event or through cancellation of the Event, loss of airfares through cancellation for any reason including airline or related services, strikes, loss or damages to personal property, force majeure or any other reason.

DISCLAIMERS & LIABILITY

1. All in-person attendees must comply with any health and safety directions or other attendance policies of the Venue. All attendees (in-person and virtual) must behave in a way that protects the health and safety of themselves and others attending the Event. Disruptive, offensive, dangerous or aggressive behaviour is not acceptable. Any person who the Event Organiser or Venue reasonably believes has contravened these Terms may be removed from the Event without refund.

2. Speaker materials express the views of the relevant speaker(s) or author(s) alone. They do not necessarily represent the views of the Event Organiser or Event Platform. Event materials should not be construed as a legal opinion or professional advice. The Event Organiser cannot accept liability for advice given, or views expressed, by any speaker at the Event or in any material provided to the attendees.

3. These Terms do not exclude or limit any guarantee, condition, warranty, right or liability implied by law (including by the Australian Consumer Law in the Competition and Consumer Act 2010), the exclusion of which would contravene the law or cause these Terms to be void (Consumer Guarantees). These Terms are to be read subject to such Consumer Guarantees.

4. You attend the Event at your own risk. We will not be responsible for any loss or damage arising from circumstances outside our reasonable control. Neither we or you will be liable for any indirect, special or consequential losses or damages of any nature arising in connection with the Event. We will not be liable for any losses, damages, costs, claims, injury or damage to property or liabilities incurred by you in relation to the Event.

5. Our liability to you for breach of any term of these Terms or of any non-excludable consumer warranties is limited, at our option (and to the extent allowed by law), to repairing or re-supplying the Event or refunding any payment you have made to us which we will treat as the cost of re-supplying the Event.

6. You agree to indemnify us against all costs, expenses, loss or liability that we may suffer resulting from your breach of these Terms (excluding any losses we incur arising out of our own gross negligence, willful misconduct or breach of contract).

INTELLECTUAL PROPERTY

1. We own or are the licensees of all intellectual property rights in the Event materials and nothing in these Terms constitutes a transfer or assignment of any intellectual property rights in the Event materials.

2. We grant you a non-exclusive, revocable, worldwide, non-sublicensable and non-transferable right and licence to use any materials that we provide to you solely for your enjoyment of the Event and for the purposes set out in this paragraph.

3. You must not, without our prior written consent:

a) copy, in whole or in part, the Event materials; or

b) reproduce, retransmit, distribute, disseminate, sell, publish, broadcast
or circulate any of the Event materials to any third party, except as
permitted here.

4. Nothing in the above clause restricts your ability to publish, post or repost the materials that we provide you during the Event on your social media pages or website, provided that:

a) you do not assert that you are the owner of the Event materials;

b) unless explicitly agreed by us in writing, you do not assert that you are
endorsed or approved by us;

c) you do not damage or take advantage of our reputation, including in a
manner that is illegal, unfair, misleading or deceptive; and

d) you comply with all other terms of these Terms.

5. You grant us the right and licence to take (and reproduce, retransmit, distribute, disseminate, sell, publish and broadcast in any media) photos and videos at the Event for the purpose of live-streaming, recording and promoting the Event and the Event Organiser. You agree you are not entitled to remuneration, residuals or royalties or other payments from our or our licensees’ use of your name, voice, image or likeness and agree to release us and our licensees from any claims or demands regarding such images and recordings. Please see our Privacy Policy for more information and how to contact us with questions or requests to be removed from such photography and filming prior to the Event.

6. If you are a speaker or other contributor of presentation materials (being your slides, speaking notes, hand-outs, biography and photo or any other material provided by you to us for presentation or promotion of the Event), you grant to us a royalty-free, non-exclusive, perpetual, worldwide licence to publish, reproduce, adapt and communicate the presentation materials in all media in connection with the Event including without limitation on the Event website, Event Platform attendee app and in the Event recording. You warrant to us that your presentation materials are your original work and that the use of the presentation materials in connection with the Event will not infringe the rights of any third party. You consent to any act or omission in relation to the presentation materials that would otherwise infringe your moral rights (being the rights of attribution, integrity and right not to have authorship falsely attributed as granted under the Copyright Act 1968 (Cth)) and any similar rights under any foreign laws.

7. This paragraph 7 will survive the termination or expiry of these Terms.

GENERAL

1. If any provision of these Terms are held to be void or unenforceable then such provision will be taken to be removed from these Terms. The remaining provisions will continue to have full effect.

2. If we decide not to exercise or enforce any right that we have against you at a particular time, then this does not prevent us from later deciding to exercise or enforce that right.

3. These Terms are governed by the laws of the state of New South Wales, Australia and the courts of New South Wales have exclusive jurisdiction to decide any matter arising out of these Terms. Any offer of an Event registration and any such registration purchased is deemed to be provided to you in New South Wales, Australia, even if you are located elsewhere.
